This Licensing Agreement sets out who owns what when Kiwi Dynamics builds AI systems, automations, applications and software for you. It forms part of our Terms and Conditions and applies alongside your statement of work.
The short version: you own what you paid us to build for you, we keep the general-purpose tooling we bring to every job, and you get a licence to keep using that tooling inside your system forever.
What You Own
On payment of all amounts due, all intellectual property rights in the custom deliverables we create specifically for you transfer to you. That includes the custom source code, configuration, prompts, workflows, data models, designs and documentation produced for your project.
Until we are paid in full, we retain ownership and you hold a temporary licence to use the deliverables for evaluation and testing only. Nothing in this section is intended as a reason to withhold work in a dispute, but the position needs to be clear.
You own your own data at all times. We never claim rights in it.
What We Keep
We bring pre-existing tooling to every engagement, including our own libraries, frameworks, boilerplate, internal utilities, prompt patterns and deployment scaffolding. We built these before your project and we use them across clients, so they remain ours.
We grant you a perpetual, irrevocable, worldwide, royalty-free, non-exclusive licence to use, run, modify and maintain that pre-existing tooling as part of your delivered system, including the right to have a third party do that work for you. You may not extract it and licence, sell or distribute it as a standalone product.
We also keep the general skills, techniques and know-how gained on your project. That is how a consultancy works, and it does not include your confidential information or your data.
Third-Party And Open-Source Components
Your system will include third-party and open-source components. Those remain the property of their owners and are licensed to you under their own terms, not ours. We choose permissively licensed components wherever practical and will list the significant ones on request.
Third-party AI models are licensed by their providers. Your rights to the model, and any restriction on how output may be used, come from that provider, not from us.
AI-Generated Output
As between you and us, you own the output your system generates from your data. We claim nothing in it.
You should know that output generated by an AI model may not be protectable by copyright in some jurisdictions, and that a model may generate similar output for another user. We cannot warrant that output is unique, original, or free from third-party rights, and our infringement indemnity in the Terms and Conditions does not extend to it.
Your Data And Model Training
We do not use your data or your confidential information to train our own models, and we do not sell it. Where a system sends your data to a third-party model provider, we configure it to use endpoints that exclude the data from that provider's training wherever the provider offers that option, and we tell you which providers are involved.
Portfolio And Attribution
We may include a general description of the work, and screenshots that contain no confidential or personal information, in our portfolio and marketing. Tell us in writing and we will leave you out. We do not put our branding in your delivered product unless your statement of work says we do.
After The Engagement
The licences in this agreement survive termination, so you keep the right to run and maintain your system regardless of how the relationship ends. Handover of code, credentials and hosting is dealt with in the Terms and Conditions.
Licensing specific to your project is agreed in writing in your statement of work and prevails over this page where the two differ. The general terms here may be updated over time, with the current version always on this page.
